1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Voyentis Labs website (voyentislabs.com), our AI consulting and custom software development services, our training programs, and our WhatsApp-based customer communication channel (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, please do not use our Services.

2. Description of Services

Voyentis Labs currently provides:

• AI research & consulting — advisory engagements on artificial intelligence strategy and implementation.
• Custom software development — bespoke application and systems development for enterprise clients.
• Training programs — structured educational programs described on our website, delivered over durations ranging from short workshops to multi-week programs.
• Customer communication via WhatsApp and email, currently handled manually and, during a testing phase, partially assisted by an AI support tool that is not yet a publicly launched commercial product.

Any feature not yet publicly available (including live AI-assisted WhatsApp conversations at scale, or phone-based AI support) is referenced on this website for transparency about our roadmap only, and is not an active commercial offering until stated otherwise.

3. Engagement of Paid Services

Specific commercial terms for consulting, development, or training engagements (scope, fees, payment terms, deliverables, and timelines) are set out separately in individual proposals, statements of work, or service agreements signed with each client. Where these Terms and a signed agreement conflict, the signed agreement controls for that engagement.

4. User Responsibilities

When using our Services, including our website and WhatsApp channel, you agree to:

• Provide accurate information when contacting us;
• Not use our Services for unlawful, abusive, fraudulent, or harmful purposes;
• Not attempt to interfere with, disrupt, or gain unauthorized access to our systems, website, or WhatsApp integration;
• Not transmit malicious code, spam, or unsolicited commercial messages through our communication channels.

5. AI-Assisted Communication

Where you communicate with us via WhatsApp during the current testing phase, you acknowledge that some responses may be generated or assisted by an AI system rather than a human, and that this assistant may make mistakes or provide incomplete answers. You can always request to speak with a human team member. We do not treat AI-generated responses as binding legal or professional advice; any formal proposal, quotation, or training enrollment confirmation will be provided or confirmed by a member of our team.

6. Intellectual Property

• All content on voyentislabs.com — including text, graphics, logos, the Voyentis Labs name and branding, and training materials — is owned by or licensed to Voyentis Labs and protected by applicable intellectual property laws, unless otherwise stated.
• Deliverables created for clients under a specific paid engagement (software, documentation, training materials) are governed by the intellectual property terms of that engagement's signed agreement.
• You may not copy, reproduce, distribute, or create derivative works from our website content or training materials without our prior written consent.

7. Third-Party Services

Our Services rely on and link to certain third-party platforms, including:

• Meta's WhatsApp Business Platform, for WhatsApp messaging — subject to Meta's and WhatsApp's own terms;
• Calendly, for booking discovery calls — subject to Calendly's own terms;
• OpenAI, used to assist in generating responses — subject to OpenAI's own terms.

We are not responsible for the availability, content, or practices of these third-party platforms.

8. Disclaimers

Our Services, including website content and AI-assisted communications, are provided on an "as is" and "as available" basis. We make reasonable efforts to ensure accuracy but do not guarantee that information provided through our website or WhatsApp assistant (including AI-generated responses) is complete, accurate, or error-free at all times.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Voyentis Labs shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or WhatsApp communication channel, including reliance on AI-generated responses. Liability for paid consulting, development, or training engagements is governed exclusively by the limitation of liability clauses in the relevant signed agreement. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah. The courts of Sharjah have jurisdiction over any dispute arising from these Terms or your use of our Services. For clients and users located in Türkiye, the courts and enforcement offices of Istanbul (Central) also have jurisdiction. This does not limit any mandatory consumer-protection rights you may have under the laws of your country of residence, including the right of consumers in Türkiye to apply to consumer arbitration committees or consumer courts.

11. Changes to These Terms

We may revise these Terms from time to time, particularly as new services (such as a publicly launched AI support product) become available. Continued use of our Services after an update constitutes acceptance of the revised Terms.
